I.            Important events to be reported

 

d) Transactions according to art. 82 – Law 24/2017

          

In accordance with the provisions of Art. 113 G (3) of the FSA Regulation no. 1/2006 and with the Art. 82 of the Law no. 24/2017, Patria Bank SA informs investors about the following:

a)    - concluding on 23.02.2018 of a subordinated term-loan agreement of EUR 4.3 million, granted by EEAF Financial Services BV – majority shareholder of Patria Bank SA, with a maturity of 6 years, bullet repayment;

b)   - concluding on 22.02.2018 of an amendment to the subordinated term-loan agreement dated 23.08.2016, amounting of EUR 4.35 million, granted by EEAF Financial Services BV – majority shareholder of Patria Bank SA, with a maturity of 7 years and 8 months, bullet repayment.

 

The above mentioned subordinated loans are meant to strengthen the growth direction and continuous improvement of market position of Patria Bank SA by the commitment of the majority shareholder to continue the bank's development projects and to contribute to the process of consolidating the capital base, in order to allow the dynamic increase assumed further to the merger process, these loans being a component of the sources for the realization of the share capital increase operation, subject to the EGSM approval dated 12.03.2018.
