A.G.O.A. and A.G.E.A. decisions No. 2 and 3 / 17.08.2017

 

The Ordinary and Extraordinary General Shareholders meetings took place on 17.08.2017, the first day of convocation, at the company’s headquarter from Industrial Street no. 1, Constanta, under marketing conditions, quorum and vote as stated in the applicable Romanian legislation and according to the company’s Constitutive Act.

At the meeting were also present representative shareholders that own a number 30.845.374 shares, representing 86,21 % from the total capital, shares with voting rights.

Following the debates of the points in the agenda and recorded in the minutes of the meeting, by unanimity of votes, the present shareholders and representatives have adopted the following decisions: 

 

A.G.O.A. DECISION NO. 2 / 17.08.2017

 

1.      Approval of the consolidated financial statements at December 31st 2016 related to ARGUS Group, on the basis of the Board of Directors and Financial Auditor Reports;

2.      Approval of 06.09.2017 as registration date, as per stipulations of art. 86, par (1) of the Law no. 24/2017, to identify the shareholders who are affected by the Shareholders General Meetings decisions, and 05.09.2017 as "ex date", as per art. 2, point f and art. 5, point 11 from the C.N.V.M. Regulation no. 6/2009, such amended and supplemented in ASF Regulation no. 13/2014

3.      Approval of the empowerment of Mr. Robu Sabin, as General Manager and / or Mrs. Alina Pirjan, as lawyer, for signing and carrying out of the AGOA decisions and carry out all formalities required by law to register the mentions with the Trade Register, in accordance with the decisions adopted.

 

 

A.G.E.A. DECISION NO. 3 / 17.08.2017

 

1.      The extension of the credit line committed by ARGUS SA with Transilvania Bank, Constanta Branch is approved, credit line with a value of 7.500.000 lei on a 1 (one) year period with the same guarantee structure concluded in the previous year, sense in which the decision of the Board of Directors no. 36 from 11.07.2017, regarding the extension of the credit line and related guarantees, is ratified

2.      Approval for contracting a credit with a value of 110.000.000 lei by Argus SA with Transilvania Bank, Constanta Branch, for work capital, sense in which the decision of the Board of Directors no. 36 from 11.07.2017, regarding the extension of the credit line and related guarantees, is ratified, as follows:
