Bucharest Stock Exchange (BVB) informs that on Wednesday, January 18, will start trading BNETR16 pre-emptive rights issued for the share capital increase carried out by Bittnet Systems (BNET). The company issued 528.480.595 pre-emptive rights that will be traded on BVB’s Main Market during January, 18-25. The company announces the increase of the share capital by issuing 105.696.119 new shares, to a subscription price of RON 0,31 per share.
The share capital increase will be made in two stages. Each entitled shareholder received a number of preference rights equal to the number of shares held on Registration Date, 13.10.2022. In the first stage shareholders will be able to trade their pre-emptive rights for 5 working days, between January 18 and January 25.
The second stage, the exercise of the preference rights, will take place from January 30, 2023, to March 1, 2023. To subscribe to a new share, a person must hold a number of 5 pre-emptive rights. The price of a new share offered for subscription is 0.31 lei/share and includes the nominal value of 0.10 lei/share and an issue premium of RON 0.21 lei/share. The new shares will be offered for subscription as follows:
- The shareholders registered on 13.10.2022 who did not alienate their preference rights during the transaction period for these preference rights;
- The persons who acquired preference rights, including by buying them during the transaction period.
The new shares remining unsubscribed after the first stage of the increase will be offered for subscription to qualified investors and/or to a number of investors smaller than 150 individuals or legal entities, in the second stage of the capital increase, in the framework of a private placement and at a price equal to at least the price in stage I. The newly issued shares remaining unsubscribed during the second stage will be cancelled.
