Completion of the public offer to purchase shares issued by
Farmaceutica REMEDIA S.A.
The Board of Administrators of Farmaceutica REMEDIA S.A. informs the investors that on January 11, 2021, the Public Purchase Offer initiated by the company was completed. The Public Offering Document was approved by the Decision of the Financial Supervisory Authority no. 1486 / 16.12.2020.
The main details of the Offer are:
- No. of shares that were the object of the Offer: 10.608.980 shares, representing 10% of the share capital;
- Total number of shares subscribed within the Offer: 10.608.981 shares, representing 100% of the Offer;
- Total amount paid by the Offeror: 6.397.216,89 lei;
- Purchase price: 0,6 Lei per share;
- Subscription period: 23.12.2020 – 11.01.2021;
- Allocation method: pro-rata;
- Intermediary: SSIF IFB FINWEST S.A.;
- Date of the transaction: 12.01.2021;
- Settlement date: 14.01.2021;
- Transactions settlement method: transfer the amounts to the bank account indicated by each shareholder in the subscription form within the Offer;
- Percentage held by the offerer following the conclusion of the subscription: 10,2829% under the condition of final confirmation according to the procedures of the Bucharest Stock Exchange and of the Central Depository.
