WHEREAS:

AVAND IN VEDERE CA:
|
|
(A) The Board of Directors of the Company (the “Board of Directors”) has convened the ordinary general meeting (the “OGMS”) and the extraordinary general meeting (the “EGMS”) of the Company's Shareholders for 29 April 2026, 10:00 a.m. and 11:00 a.m. respectively (first convening), and for 30 April 2026, 10:00 a.m. and 11:00 a.m. respectively (second convening), at One Tower, 16th floor, 165 Calea Floreasca, 1st District, Bucharest, Romania.

(A) Consiliul de administratie al Societatii („Consiliul de Administratie") a convocat adunarea generala ordinara („AGOA") si adunarea generala extraordinara („AGEA") a actionarilor Societatii pentru data de 29 aprilie 2026, ora 10:00, respectiv ora 11:00 (prima convocare), respectiv la data de 30 aprilie 2026, ora 10:00, respectiv ora 11:00 (a doua convocare) la One Tower, et. 16, Calea Floreasca nr. 165, Sector 1, Bucuresti, Romania.

(B) In accordance with the provisions of art. 1171 (1) of Law no. 31/1990 on companies, as republished and subsequently amended, art. 105 para. (3) of Law no. 24/2017 on issuers of financial instruments and market operations, as subsequently amended and supplemented, and of art. 7 para. (5) of the Company's articles of association, one or more shareholders holding, individually or together, at least 5% of the share capital of the Company may request additional points to be introduced on the agenda of general meetings of shareholders.

(B) In conformitate cu dispozitiile art. 1171 alin. (1) din Legea nr. 31/1990 privind societatile republicata, cu completarile si modificarile ulterioare, ale art. 105 alin. (3) din Legea nr. 24/2017 privind emitentii de instrumente financiare si operatiuni de piata, cu modificarile si completarile ulterioare si ale art. 7 alin. (5) din actul constitutiv al Societatii, unul sau mai multi actionari care detin, individual sau impreuna, cel putin 5% din capitalul social pot solicita introducerea unor puncte suplimentare pe ordinea de zi a adunarilor generale ale actionarilor.

(C) Upon analysing the items included on the agenda of the OGMS and the EGMS, as provided in the convening notice, the undersigned consider necessary, useful or desirable to supplement the EGMS agenda with additional items, as reflected below,
|
(C) Ulterior analizei prevederilor punctelor inscrise pe ordinea de zi a AGOA si AGEA, astfel cum sunt prezentate in convocator, subscrisa considera necesar, util sau oportun suplimentarea ordinii de zi AGEA cu puncte aditionale, dupa cum este redat mai jos;

THEREFORE,

IN CELE CE URMEAZA,
|
|
The undersigned hereby request supplementing the agenda of the EGMS after item 6 on the agenda with the following new items, which are at the same time draft resolutions proposed for adoption:
|
Subscrisa solicita prin prezenta completarea ordinii de zi a AGEA dupa punctul 6 de pe ordinea de zi cu urmatoarele puncte, reprezentand totodata proiecte de hotarare propuse spre adoptare:

“Approval of contracting by ONE PROIECT 4 S.R.L., a legal entity of Romanian nationality, with registered office in Bucharest, Sector 1, Maxim Gorki Street no. 20, registered with the Trade Register Office of the Bucharest Court of Justice under number J2021008216400, (EUID) ROONRC J2021008216400, with unique registration code 44237530 (“OP4”), in which the Company holds the capacity of sole shareholder, from one or more financing bank(s) of (a) an investment credit (construction) in the maximum amount of EUR 20,000,000 for the purpose of partially financing/refinancing the development of the “ONE ACADEMY CLUB” project; and (b) a VAT credit facility in the maximum amount of RON 7,500,000 (equivalent of EUR 1,500,000) for the financing of VAT payments related to the project to be developed by OP4 (the “OP4 Facilities”), under the following terms and conditions:

„Aprobarea contractarii de catre ONE PROIECT 4 S.R.L., persoana juridica de nationalitate romana, cu sediul social in Bucuresti, Sector 1, Str. Maxim Gorki nr. 20, inmatriculata la Oficiul Registrului Comertului de pe langa Tribunalul Bucuresti sub nr. J2021008216400, (EUID) ROONRC J2021008216400, avand cod unic de inregistrare 44237530 („OP4"), in care Societatea are calitatea de asociat unic, de la una sau mai multe banci finantatoare a (a) unui credit de investitii (construire) avand valoarea maxima de 20.000.000 EUR, avand ca scop finantarea/refinantarea partiala a dezvoltarii proiectului „ONE ACADEMY CLUB”; si (b) unei facilitati de credit de TVA avand valoarea maxima de 7.500.000 RON (echivalentul a 1.500.000 EUR) pentru finantarea platilor de TVA aferente proiectului ce urmeaza a fi dezvoltat de OP4 (denumite in continuare „Facilitatile OP4”), in urmatorii termeni si conditii:

|
· The maximum period for the facility under letter (a) above will be 42 months and the maximum period for the facility under letter (b) above will be 36 months, in both cases calculated from the date of signing of the credit agreements;
|
· Perioada maxima a facilitatii de la lit. (a) de mai sus va fi de 42 luni, iar perioada maxima a facilitatii de la lit. (b) de mai sus va fi de 36 luni, in ambele cazuri calculate de la data semnarii contractelor de credit;
|
|
· For the purposes of guaranteeing the OP4 Facilities and of the other payment obligations related to the respective credits, the Company may establish in favor of the financing bank(s) the following guarantees:
|
· In scopul garantarii Facilitatilor OP4 si a celorlalte obligatii de plata aferente creditelor respective, Societatea va putea constitui in favoarea bancii/bancilor finantatoare urmatoarele garantii:
|
|
o a movable mortgage on all present and future shares held by the Company in the share capital of OP4, as well as on all rights and accessories attached thereto; and
|
o o ipoteca mobiliara asupra tuturor partilor sociale, prezente si viitoare, detinute de Societate in capitalul social al OP4, precum si asupra tuturor drepturilor si accesoriilor atasate acestora; si
|
|
o a personal payment guarantee, including in the form of a corporate guarantee issued by the Company or the execution of a guarantee agreement with the financing bank/banks.
|
o o garantie personala de plata, inclusiv sub forma emiterii unei garantii corporatiste de catre Societate sau incheierii unui contract de fideiusiune cu banca/bancile finantatoare;
|
|
· In the context of contracting the OP4 Facilities, the Company may enter into a subordination agreement for all receivables resulting from loans granted or to be granted to OP4 by its shareholders, as well as all dividends or other distributions of amounts owed by OP4 to its shareholders.”
|
· In contextul contractarii Facilitatilor OP4, Societatea va putea incheia un contract de subordonare a tuturor creantelor rezultand din creditele acordate sau ce vor fi acordate OP4 de catre asociatii sai, precum si a tuturor dividendelor sau altor distribuiri de sume datorate de catre OP4 asociatilor sai.”

“Approval of the empowerment of the executive members of the Board of Directors, with full and individual powers, with the right of sub-delegation, so that, in the name and on behalf of the Company, for the entire duration of the credit agreement and the other financing documents, they may negotiate, sign, deliver or deliver the documentation relating to the matters approved pursuant to item 7 hereof and the related guarantees and take or cause to be taken any and all actions that the executive members of the Board of Directors shall deem necessary, appropriate or advisable to carry out the resolutions to be adopted pursuant to item 7 of the agenda, including, without limitation:
|
„Aprobarea imputernicirii membrilor executivi ai Consiliului de Administratie, cu puteri depline si individuale, cu dreptul de sub-delegare, astfel incat, in numele si pe seama Societatii, pe intreaga durata a contractului de credit si a celorlalte documente de finantare, sa negocieze, sa semneze, sa predea sau sa livreze documentatia aferenta celor aprobate conform punctului 7 de mai sus si a garantiilor aferente si sa ia sau sa determine sa se ia oricare si toate masurile pe care membrii executivi ai Consiliului de Administratie le vor considera necesare, corespunzatoare sau recomandabile pentru a duce la indeplinire hotararile ce vor fi adoptate conform punctului 7 de pe ordinea de zi, inclusiv, fara a fi limitate la:
|
|
a) to negotiate, execute and deliver, in the name and on behalf of the Company, the credit agreement, security agreements, subordination agreement, any future addenda to these agreements, as well as any other documents to be issued or executed by the Company to give effect to the resolutions under item 7 of the agenda and any documents to be executed and delivered pursuant to or in connection therewith;
|
a) sa negocieze, sa semneze si sa livreze, in numele si pe seama Societatii, contractul de credit, contractele de garantie, contractul de subordonare, orice acte aditionale viitoare la aceste contracte, precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor de la punctul 7 de pe ordinea de zi si orice documente care urmeaza a fi semnate si transmise conform sau in legatura cu acestea;
|
|
b) to register the guarantees, the subordination agreement (if required), as well as any other documents to be issued or signed by the Company to give effect to the resolutions under item 7 of the agenda, to which the Company is a party or is intended to be a party, if required, and to complete any and all formalities and take any other necessary steps, appropriate or advisable, to give full effect to the resolutions under item 7 of the agenda (including, without limitation, the registration to be made with the National Registry of Movable Publicity, the National Bank of Romania, the Trade Registry or the representation and signing of any necessary documents before the notary public or any other persons, institutions, authorities with competence in respect of registration in any public registers).
|
b) sa inregistreze garantiile, contractul de subordonare (daca este necesar), precum si orice alte documente ce trebuie emise sau semnate de Societate pentru a da eficienta hotararilor conform punctului 7 de pe ordinea de zi, la care Societatea este parte sau se intentioneaza sa fie parte, daca este necesar, si sa indeplineasca oricare si toate formalitatile si sa ia orice alte masuri necesare, corespunzatoare sau recomandabile, pentru a conferi efecte depline hotararilor conform punctului 7 de pe ordinea de zi (inclusiv, fara limitare la, inregistrarea care urmeaza a se face la Registrul National de Publicitate Mobiliara, Banca Nationala a Romaniei, Registrul Comertului sau reprezentarea si semnarea oricaror documente necesare in fata notarului public sau oricaror alte persoane, institutii, autoritati cu competente in privinta inregistrarii in orice registre publice).

The Company's representatives are authorized and empowered to agree, on behalf of the Company, on any amendments, modifications or changes to be made to any financing document, as well as any other ancillary documents, as well as any other contracts, documents, or instruments to which the Company is a party or is intended to be a party, as the Company's representatives, at their absolute discretion, shall deem appropriate, with the observance of the limits set in the resolution to be approved according to item 7 on the EGMS agenda, the Articles of Association and the applicable law.
|
Reprezentantii Societatii sunt autorizati si imputerniciti sa convina, in numele Societatii, asupra oricaror amendamente, modificari sau schimbari care urmeaza a fi aduse la orice document de finantare, precum si la orice alte documente auxiliare, precum si oricare alte contracte, documente sau instrumente la care Societatea este parte sau se intentioneaza sa fie parte, dupa cum reprezentantii Societatii, la discretia lor absoluta, vor considera corespunzator, cu respectarea limitelor prevazute in cadrul hotararii care va fi aprobate conform punctului 7 de pe ordinea de zi AGEA, a Actului Constitutiv si a prevederilor legale aplicabile.

To the extent that in the financing structure, as approved by the financing bank/banks, new or modifying conditions compared to those approved above or modifications regarding the description of the guarantees above subsequently arise, the executive members of the Board of Directors are empowered together to decide as they shall deem appropriate, regarding any aspects not mentioned or approved under item 7 on the EGMS agenda (including but not limited to creation of securities and accepting new financial conditions), with the observance of the limits set in the resolution to be approved according to item 7 on the EGMS agenda, the Articles of Association and the applicable law.”

In masura in care in structura de finantare, astfel cum va fi aprobata de catre banca/bancile finantatoare, vor aparea ulterior conditii noi sau modificatoare fata de cele aprobate mai sus sau modificari cu privire la descrierea garantiilor de mai sus, membrii executivi ai Consiliului de Administratie sunt imputerniciti impreuna sa decida dupa cum vor considera de cuviinta cu privire la orice aspecte care nu au fost mentionate/aprobate conform punctului 7 de pe ordinea de zi AGEA (inclusiv, dar nelimitandu-se la, constituirea de garantii sau agrearea de noi conditii financiare), cu respectarea limitelor prevazute in cadrul hotararii care va fi aprobate conform punctului 7 de pe ordinea de zi AGEA, a Actului Constitutiv si a prevederilor legale aplicabile.”

Pursuant to the insertion of items 7 and 8 as provided above, the current items 7 and 8 on the agenda shall be renumbered, becoming items 9 and 10 on the supplemented EGMS agenda.
|
Ca urmare a inserarii punctelor 7 si 8 astfel cum este prevazut mai sus, actualele puncte 7 si 8 de pe ordinea de zi vor fi renumerotate, devenind punctele 9 si 10 de pe ordinea de zi AGEA completata.
|

We would be happy to provide any clarifications you may require in relation to this proposal to insert additional items on the agenda of the EGMS.
